ONLINE ADVERTISING REGULATIONS ON WWW.ALLRESTAURANT.EU

§ 1.

DEFINITIONS

Terms used in these Regulations shall have the following meaning:

  1. ALLRESTAURANTS - All T&M Company Sp. z o.o. with its registered office in Wrocław at Legnicka Street 28/82, 53-673 Wrocław, entered in the register of entrepreneurs of the National Court Register maintained by the District Court for Wrocław – Fabryczna in Wrocław, 6th Commercial Division of the National Court Register under the number KRS: 0000443040, share capital of PLN 5,000.00, Taxpayer Identification Number (NIP): 8971786438;

  2. User – natural person, natural person not being a consumer within the meaning of art. 221 of the Civil Law Act of 23 April 1964 (i.e. Journal of Laws of 2019, item 1145), legal person or organizational unit deprived of legal personality, also acting on behalf and for third parties, ordering Online and/or Magazine Advertising to ALLRESTAURANTS;

  3. Advertisement – a message of specific content and form, the aim of which is to reach the effect intended by the User;

  4. Service / Internet Service – the website of ALLRESTAURANTS located at the address www.allrestaurants.eu, through which the (Service Provider) renders services specified in the Regulations for the User;

  5. Application – mobile application of ALLRESTAURANTS through which ALLRESTAURANTS renders services specified in the Regulations for the User.

  6. Magazine – „ALL RESTAURANTS” Magazine entered by the Regional Court in Wrocław in the register of Dailies and Magazines.

  7. Registration – one-off activity consisting in setting up the Client’s Panel in the Service on the terms specified in these Regulations;

  8. Charge – obligatory charge paid by the User to ALLRESTAURANTS which enables to order the Advertisement to ALLRESTAURANTS. The amount of charge is specified in the Price List;

  9. Price List – the list containing information on the amount of the registration charge and prices of the Advertisement in the Service, located in the Service in the tab entitled „Price List”;

  10. Client’s Panel – part of the Service assigned to a given User, identified by e-mail address, enabling the User to carry out specific actions as part of the Service, including in particular payments for the services, the Advertisement Publication Order, management of the content of advertisements and communication with the (Service Provider).

  11. Advertisement – announcement with the content specified by the User, in accordance with these Regulations;

  12. Advertisement Publication Order – order to put the Advertisement in the service, submitted by the User on the form provided by ALLRESTAURANTS in the Client’s Panel.

§ 2.

GENERAL PROVISIONS

  1. ALLRESTAURANTS maintains the Internet Service and the Application in order to enable the Users managing restaurants, being cooks or suppliers of products, to advertise their activities or products / services and add announcements.

  2. ALLRESTAURANTS shall render services for the Users which consist in publishing of the Advertisement in the Service according to the Advertisement Publication Order and on the terms and conditions specified in these Regulations.

  3. The Advertisement Publication Order is tantamount to the approval of all provisions of these Regulations and the Price List.

  4. Advertisement Publication Orders shall be accepted and carried out by the Service Provider on the terms and conditions specified in these Regulations.

  5. ALLRESTAURANTS reserves its right to refuse to publish the Advertisement without giving a statement of reasons therefor. In particular, ALLRESTAURANTS shall have the right to refuse to accept or to suspend the publication of the Advertisement when the advertisement:

  1. is contrary to the law of the principles of social conduct,

  2. infringes third party rights, including in particular copyrights, derivative rights and industrial property rights,

  3. is inconsistent with the theme of the Service,

  4. is inconsistent with interests of ALLRESTAURANTS.

  1. If the User has infringed provisions of these Regulations, ALLRESTAURANTS shall have the right to block the Client’s Panel.

  2. In case of any technical problems that make it impossible to publish the Advertisement in the Service, the total publishing time of the Advertisement shall be extended by the duration of such technical problems.

§ 3.

CLIENT’S PANEL

  1. In order to use ALLRESTAURANTS Services, the User shall be obliged to create the Client’s Panel.

  2. The Client’s Panel shall be created free of charge. Services rendered by ALLRESTURANTS shall be charged in accordance with the Price List.

  3. The Client’s Panel can be created by an individual who:

  1. is 18 years of age or older,

  2. provides all obligatory data in the registration form,

  3. gives consent to terms and conditions specified in the Regulations, privacy policy and cookie files.

  1. Creation of the Client’s Panel requires provision of personal data.

  2. The User may delete the Client’s Panel at any time.

  3. The User shall not disclose data of their Client’s Panel, nor to make it available to third parties.

§4

SERVICES

  1. The service provision agreement shall be concluded upon payment for the Service by the User.

  2. The content of the advertisement to be published in the service cannot be contrary to the applicable laws and the principles of social conduct.

  3. All and any materials provided by the User to publish the advertisement cannot infringe any rights of other entities, including in particular copyrights, derivative rights and industrial property rights.

  4. The User shall be fully responsible for the content of the advertisement to be published in the Service.

  5. ALLRESTAURANTS shall not be held liable for the content of the Advertisement issued and for the consequences of publication thereof for the User.

§5.

ADVERTISEMENT

  1. The User shall place materials to be published in the Panel.

  2. The Advertisement shall contain:

    1. the content (information about the restaurant, description of the restaurant, contact details),

    2. logo (EPS or PDF format, bitmap resolution of 300-350 dpi, CMYK colour profile),

    3. 6 photographs (JPG format, CMYK colour profile),

    4. own advertisement (EPS or PDF format, bitmap resolution of 1200-1034 dpi, CMYK colour profile or TIFF300 dpi, obligatory file to be attached – ad preview (low resolution) in JPG format).

  3. All materials provided electronically shall have a name that enables identification of the company and of the facility.

  4. The layout of the Advertisement shall be submitted to the User for approval by e-mail.

  5. The User may communicate comments as regards the Advertisement within 7 days of receiving an e-mail from ALLRESTAURANTS with the layout of the Advertisement. ALLRESTAURANTS shall inform the User about introduced or rejected changes and send the Advertisement for reapproval.

  6. If the User has failed to communicate their comments within 7 days of receiving the message, the layout of the Advertisement shall be deemed to be approved without any objections.

  7. The User represents that they shall have all and any intellectual property rights (including copyrights and derivative rights, industrial property rights, including in particular protection rights to trademarks, rights of industrial design registration) to company identifiers that the User makes available to ALLRESTAURANTS for the purpose of the execution of this agreement, and that the use by ALLRESTAURANTS of materials submitted shall not constitute violation of the applicable laws, nor shall it infringe third party rights.

  8. The User hereby confirms that they give consent to the use by ALLRESTAURANTS of company identifiers of the User in promotional and advertising materials that the User shall make available to ALLRESTAURANTS for the purpose of the execution of this agreement. Provision by the User of company identifiers and giving consent to the use thereof shall not constitute transfer to ALLRESTAURANTS of any rights to such identifiers.

  9. Provision of advertising materials to be published is tantamount to the User’s statement that the User shall have the right to use such materials and to have them published by ALLRESTAURANTS.

  10. ALLRESTAURANTS shall have the right to refuse to publish the Advertisement that is contrary to the law or the principles of social conduct.

  11. The provisions of this article shall survive termination of or withdrawal from this agreement by either Party.

  12. ALLRESTAURANTS shall not be held liable for the content of advertisements provided by the User.

§ 6.

PAYMENT

  1. The User shall pay ALLRESTAURANTS for the publication of the advertisement.

  2. The basis for the calculation of charges shall be the Price List being in force on the date of the Advertisement Publication Order.

  3. All and any payments shall be made with the use of online payment system.

  4. After the payment has been made, an invoice shall be sent to e-mail address of ALLRESTAURANTS.

§ 7.

TERMINATION OF THE AGREEMENT

  1. The User being the consumer shall have the right to withdraw from the Agreement within 14 days of the date of payment for the Service, unless prior to the expiry of such period ALLRESTAURANTS has rendered the Service, then the right of withdrawal shall not apply.

  2. The User shall have the right to terminate the agreement at any time by submitting a statement of agreement termination in writing under the pain of nullity to the mailing or e-mail address of ALLRESTAURANTS.

  3. If the event of agreement termination referred to in par. 2, the Client shall not be reimbursed with the costs incurred.

§ 8.

COMPLAINT PROCEDURE

  1. ALLRESTAURANTS shall have the right to lodge complaints against the Service rendered within 14 days of the date of the event being the reason for the complaint.

  2. The complaint shall be lodged by sending a message by the User using a form available in the Client’s Panel or by e-mail to the following address: info@allrestaurants.eu.

  3. If the complaint has been submitted via e-mail, it shall contain data of the individual lodging the complaint (first and last name of the User or the User’s business name, e-mail address provided by the User during registration) and a detailed description of the event being the reason for the complaint.

  4. ALLRESTAURANTS shall investigate each complaint within 7 business days of receiving a complete complaint.

  5. ALLRESTAURANTS shall not be held liable for inability to render Services for the Clients as a result of the occurrence of force mature.

§9.

ADDITIONAL PROVISIONS

  1. ALLRESTAURANTS reserves the right to change prices specified in the Price List at any time. Changes shall take effect immediately after being published.

  2. Promotional codes or other discounts must be properly introduced in the Client’s Panel.

§ 10.
AllRestaurants
Website and application
"location Function"

1. AllRestaurants Website and application is first international archive for restaurants and food companies and the main aim of this project is to offer real, actual and correct information for users and most of this information is built on location feature to offer the best services.

Requesting access to location, Requesting access to location in the background is important in AllRestaurants application because:

·         Guide user to correct addresses of restaurants, food companies and suppliers.

·         Gives users actual promotion and important information about restaurants around him when he move or make trip or visit new places.

·          Give him the ability to discover new places.

·         Help user to arrive there correct address.

·         Always provide user with the new update about restaurants and food companies around him.

2. AllRestaurants project (Website and Application) and ALLTM L.L.C Company don’t use user’s personal information, location information, tracking information of users and don’t give any third part to use.

3. AllRestaurants project (Website and Application) and ALLTM L.L.C Company don’t store user’s location or sale it for third part, and this information are stored in user side (Pc – Tablet – Smartphone  ...)

§ 11.

FINAL PROVISIONS

  1. Regulations come into force as of the date of being announced.

  2. The provisions of the applicable law shall apply in issues not governed by these Regulations.

  3. All and any disputes connected with the performance of the advertisement publication order shall be settled by a competent court having jurisdiction over the registered office of ALLRESTAURANTS.
